During the Track Record Period, the Company complied, in all material respects, with applicable laws and regulations in the PRC relating to health and occupational safety, and no adjudicated work-related injury incidents or fatalities occurred in the course of our operations.

We hold valid safety production permits issued by the Department of Emergency Management of Guangdong Province for both open-pit mining operations and the operation of the Fandong Village Tailing Storage Facility.

Our PRC Legal Advisors, German Legal Advisors and Thai Legal Advisors, and our Directors have confirmed that, during the Track Record Period and up to the Latest Practicable Date, we have complied, in all material respects, with the applicable laws and regulations relating to occupational health and safety.

During the Track Record Period and as of the Latest Practicable Date, we complied with the relevant occupational health and safety laws and regulations in the PRC and we did not have any incidents or complaints which had a material and adverse effect on our business, financial condition or results of operations during the same period.
